1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Figgy platform and related services (the "Services") provided by Block Party Group, Inc. ("Figgy," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Services

Figgy provides AI-powered software tools for real estate professionals, including but not limited to:

  • Relationship management
  • Workflow automation
  • AI-assisted content generation
  • CRM integrations
  • Data enrichment
  • Marketing tools
  • Analytics and insights
  • Activity tracking and notifications

We may modify, update, or discontinue features at any time.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

The Services are intended for business use by real estate professionals and related service providers.

4. Accounts

You are responsible for:

  • Maintaining the confidentiality of login credentials
  • All activity under your account
  • Ensuring information provided is accurate
  • Not sharing accounts in violation of your subscription plan

We may suspend or terminate accounts that violate these Terms.

5. Subscription & Billing

A. Paid Plans

Some features require a paid subscription. Fees are:

  • Billed in advance
  • Non-refundable unless required by law
  • Subject to change with notice

B. Usage-Based or Credit Features

Certain features (including AI processing or enrichment services) may consume usage credits or incur additional charges.

You are responsible for all usage incurred under your account.

6. AI Features & Generated Content

A. Nature of AI Outputs

Figgy includes AI-powered features that generate content or recommendations.

You acknowledge:

  • AI outputs are generated automatically.
  • Outputs may be inaccurate, incomplete, or inappropriate.
  • Figgy does not guarantee accuracy or reliability of AI outputs.

You are solely responsible for reviewing and approving all AI-generated content before use.

B. No Professional Advice

AI outputs do not constitute legal, financial, brokerage, compliance, or regulatory advice.

You remain responsible for ensuring compliance with:

  • Real estate regulations
  • MLS rules
  • Fair housing laws
  • Email marketing laws (e.g., CAN-SPAM)
  • Data privacy laws

C. Automated Workflows

If you enable automated workflows (including automated messaging or integrations), you are responsible for:

  • Ensuring lawful use
  • Monitoring automated actions
  • Reviewing system configurations

Figgy is not liable for actions triggered by user-configured automation.

7. Customer Data

A. Ownership

You retain ownership of data you submit or upload ("Customer Data"). Figgy does not claim ownership of Customer Data.

B. License to Operate

You grant Figgy a limited license to process Customer Data solely to:

  • Provide the Services
  • Improve platform functionality
  • Support integrations
  • Ensure security and compliance

C. AI Processing

Customer Data may be transmitted to third-party AI providers to generate requested outputs.

We do not use Customer Data to train our own AI models.

8. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes
  • Violate data protection laws
  • Send spam or unsolicited communications
  • Scrape or harvest data in violation of third-party terms
  • Reverse engineer the platform
  • Attempt to access other users' data
  • Upload malicious code

You are responsible for ensuring you have lawful rights to process contact data entered into the platform.

9. Third-Party Integrations

Figgy integrates with third-party services (e.g., CRMs, email providers, enrichment APIs).

We are not responsible for:

  • Third-party service availability
  • Third-party data accuracy
  • Acts or omissions of third-party providers

Use of third-party services is governed by their terms.

Google Services Integration

If you connect a Google account to Figgy, you authorize Figgy to access and process Google user data in accordance with the permissions you grant.

Figgy's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

You acknowledge that:

  • You are responsible for reviewing Google's permissions screen before granting access.
  • You may revoke access at any time via your Google Account settings.
  • Figgy is not responsible for acts or omissions of Google or related services.

10. Data Enrichment & External Data

If you use enrichment features:

  • You are responsible for lawful use of enriched data.
  • Figgy does not guarantee the accuracy of enrichment results.
  • You must comply with all applicable data privacy and marketing laws.

11. Intellectual Property

The Services, including software, branding, design, workflows, and system architecture, are owned by Block Party Group, Inc.

You may not:

  • Copy
  • Resell
  • Modify
  • Create derivative works
  • Reverse engineer

Except as expressly permitted.

12. Confidentiality

Each party agrees to protect the other's confidential information and not disclose it except as required to provide the Services.

13. Termination

You may terminate your account at any time.

We may suspend or terminate accounts for:

  • Breach of Terms
  • Non-payment
  • Illegal activity
  • Risk to platform integrity

Upon termination, access to Services will cease.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ERROR-FREE OPERATION

AI outputs are provided without guarantees of accuracy.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

FIGGY SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES
  • LOST PROFITS
  • LOST BUSINESS OPPORTUNITIES
  • DATA LOSS
  • DAMAGES ARISING FROM AI OUTPUTS
  • DAMAGES FROM AUTOMATED ACTIONS

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE PRIOR 12 MONTHS.

16. Indemnification

You agree to indemnify and hold harmless Figgy from claims arising from:

  • Your use of the Services
  • Your Customer Data
  • Violations of law
  • AI-generated content you distribute
  • Automated communications sent via the platform

17. Governing Law

These Terms are governed by the laws of the State of [Your State], without regard to conflict of law principles.

18. Dispute Resolution

Disputes will be resolved through binding arbitration, except where prohibited by law.

19. Changes to Terms

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
